Comprehensive Terms for P2P Donate Platform - Ghana

Important Notice: These Terms of Service govern your use of the P2P Donate platform, a peer-to-peer donation system operating in Ghana. Please read carefully before using our services.

1. Introduction and Acceptance

Welcome to P2P Donate ("we," "our," "us," or "the Platform"), a peer-to-peer donation platform operating in the Republic of Ghana. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and P2P Donate regarding your access to and use of our platform, website, mobile applications, and related services (collectively, the "Service").

By creating an account, accessing, or using any part of our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Service.

These Terms are governed by the laws of the Republic of Ghana and comply with relevant Ghanaian regulations including the Payment Systems and Services Act 2019 (Act 987), Data Protection Act 2012 (Act 843), and Bank of Ghana guidelines.

2. Definitions and Key Terms

Important: The following definitions explain key terms used throughout our legal documents. Understanding these terms is essential for using our platform safely and legally.

"Pledge"

A voluntary donation commitment made by a user in one of four fixed categories: GHS 20, GHS 50, GHS 100, or GHS 200. When you make a pledge, you commit to sending this amount to another user via mobile money transfer. Pledges are voluntary donations, not investments or loans.

"Queue System"

Our First-In-First-Out (FIFO) system that determines the order in which users receive donations. Users are placed in queue based on when they make their pledge. The system is transparent, and users can see their position. Users at the top may receive up to two consecutive donations before being moved to the back of the queue.

"Double Return"

The system design where users who make a pledge may receive donations totaling twice their original pledge amount (e.g., pledge GHS 50, potentially receive GHS 100 total). This is not guaranteed and depends entirely on other users' voluntary participation.

"Mobile Money"

Electronic payment services provided by Ghanaian mobile network operators including MTN Mobile Money, Vodafone Cash, and AirtelTigo Money. All monetary transactions between users occur through these services outside our platform.

"Platform Tokens"

Internal digital credits used to pay platform fees. Each pledge requires 10 tokens as a platform fee. Tokens have no cash value outside our platform and are non-refundable. They are used solely for platform operations and maintenance.

"User Matching"

The automated process by which our platform connects users who have made pledges with users who are in the receiving queue. Matching is based on pledge categories and queue position, ensuring fair and transparent connections.

"Verification"

The process of confirming that mobile money transactions have been completed between users. This typically involves providing transaction IDs, screenshots, or other proof of payment to demonstrate that a pledge has been fulfilled.

"Support Tickets"

Our internal dispute resolution and customer service system. Users can submit support tickets to report issues, resolve disputes, ask questions, or request assistance with platform-related matters.

"Account Verification"

The process of confirming user identity and mobile money account details to comply with Ghanaian financial regulations and prevent fraud. May include providing Ghana Card, mobile money account verification, or other identification documents.

"Platform Administrators" or "Admins"

P2P Donate staff members who manage platform operations, resolve disputes, monitor compliance, and ensure fair system operation. Admins have the authority to add/remove users from queues and make platform decisions.

"Transaction ID"

A unique reference number generated by mobile money providers (MTN, Vodafone, AirtelTigo) when a transfer is completed. Used as proof of payment and for transaction verification purposes.

"KYC (Know Your Customer)"

Identity verification procedures required by Ghanaian financial regulations to prevent money laundering and fraud. Includes collecting and verifying user personal information, identification documents, and mobile money account details.

"FIFO"

First-In-First-Out: The fair queuing principle where users who make pledges first are the first to receive donations. This ensures transparent and equitable treatment of all platform participants.

Important Legal Clarifications
  • "Donation" vs "Investment": All platform transactions are voluntary donations between community members, not investments with guaranteed returns.
  • "Community Platform" vs "Financial Institution": P2P Donate is a technology platform that facilitates user connections, not a bank or financial institution.
  • "Voluntary Participation": All platform activities are entirely voluntary, and users may stop participating at any time.
  • "No Guarantees": The platform provides no guarantees of receiving donations, profits, or returns of any kind.

3. Eligibility and User Requirements

Age Requirement: You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement with us.

Ghanaian Residency: Our services are primarily designed for residents of Ghana. You must have a valid Ghanaian mobile money account (MTN Mobile Money, Vodafone Cash, or AirtelTigo Money) to participate in the pledge system.

Legal Compliance: You must not be prohibited from using financial services under Ghanaian law or any applicable jurisdiction. You agree to comply with all local, national, and international laws and regulations.

4. Platform Description and Nature of Service

Service Overview: P2P Donate is a peer-to-peer donation platform that facilitates voluntary donations between community members. The platform operates a transparent queue system where users make pledges and receive donations from other community members.

Not an Investment or Gambling Platform: P2P Donate is explicitly NOT:

  • An investment scheme or financial investment product
  • A gambling, betting, or gaming platform
  • A pyramid scheme, Ponzi scheme, or multi-level marketing program
  • A bank, financial institution, or money lending service
  • A guaranteed return investment program

Voluntary Donation System: All transactions on the platform are voluntary donations between community members. There are no guaranteed returns, and participation is entirely at your own risk.

5. Pledge System Mechanics

Pledge Categories: Users may choose from four pledge categories:

  • GHS 20 pledge category
  • GHS 50 pledge category
  • GHS 100 pledge category
  • GHS 200 pledge category

Queue System: Our platform operates a First-In-First-Out (FIFO) queue system with the following rules:

  • Users are placed in queue based on the time of their pledge confirmation
  • Users at the top of the queue may receive up to two consecutive donations before being moved to the back
  • Queue position is transparent and visible to all users
  • No user can make a new pledge while they are currently in the receiving queue

Platform Fees: A fee of 10 tokens is charged per pledge to maintain platform operations and sustainability.

6. Account Registration and Management

Registration Requirements: To use the Service, you must register for an account by providing accurate, current, and complete information including:

  • Full legal name as it appears on your Ghana Card or valid ID
  • Valid mobile phone number registered in Ghana
  • Mobile money account details (MTN, Vodafone, or AirtelTigo)
  • Email address for account notifications

Account Security: You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use or security breach
  • Keeping your account information current and accurate

Account Verification: We may require additional verification documents to comply with Ghanaian financial regulations and prevent fraud.

7. Mobile Money Integration and Transactions

Supported Providers: Our platform integrates with the following Ghanaian mobile money providers:

  • MTN Mobile Money
  • Vodafone Cash
  • AirtelTigo Money

Transaction Process: All monetary transactions between users occur through mobile money transfers outside our platform. We facilitate matching and communication but do not process payments directly.

Transaction Verification: Users must provide proof of mobile money transactions through screenshots or transaction IDs for verification purposes.

Platform Fees: A fee of 10 tokens is charged per pledge to maintain platform operations. This fee is separate from any mobile money transaction charges imposed by your mobile network operator.

8. User Obligations and Prohibited Activities

General Obligations: You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Provide accurate and truthful information at all times
  • Respect other users and maintain professional communication
  • Comply with all applicable Ghanaian laws and regulations
  • Report any suspicious or fraudulent activity to platform administrators

Prohibited Activities: You agree NOT to:

  • Create multiple accounts to manipulate the queue system
  • Use the platform for money laundering or any illegal financial activities
  • Provide false mobile money transaction proofs
  • Attempt to circumvent platform security measures
  • Engage in harassment, threats, or abusive behavior toward other users
  • Use automated systems or bots to interact with the platform
  • Promote competing platforms or services
  • Violate any applicable anti-money laundering (AML) regulations
  • Use the platform if you are under 18 years of age

9. Risk Acknowledgment and Disclaimers

Financial Risks: You acknowledge and understand that:

  • Participation in the pledge system involves financial risk
  • There are no guaranteed returns or profits
  • You may lose money you pledge to other users
  • Platform operations may be suspended or terminated at any time
  • Mobile money transactions are irreversible
  • Economic conditions may affect platform operations

Platform Limitations: We do not:

  • Guarantee that you will receive donations from other users
  • Control or process mobile money transactions between users
  • Provide investment advice or financial planning services
  • Guarantee platform availability or uptime
  • Insure user funds or provide compensation for losses

10. Dispute Resolution and Support

Internal Dispute Resolution: We provide a support ticket system for resolving disputes between users. Users are encouraged to:

  • Report disputes through the platform's support system
  • Provide evidence including mobile money transaction records
  • Cooperate with platform administrators during investigations
  • Attempt good faith resolution before escalating disputes

Platform Mediation: We may, at our discretion, mediate disputes between users but are not obligated to resolve all conflicts. Our decisions regarding disputes are final.

11. Account Termination and Suspension

Termination by Platform: We reserve the right to terminate or suspend your account immediately for:

  • Violation of these Terms of Service
  • Fraudulent or suspicious activity
  • Multiple user complaints or disputes
  • Non-compliance with Ghanaian financial regulations
  • Abuse of the platform or other users

Voluntary Termination: You may terminate your account at any time by contacting our support team. Upon termination:

  • You will be removed from all queues
  • Unused tokens will be forfeited
  • Your account data will be retained as required by law
  • Outstanding obligations to other users remain valid

12. Limitation of Liability

Maximum Liability: To the fullest extent permitted by Ghanaian law, our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the total amount of platform fees you have paid to us in the 12 months preceding the claim.

Excluded Damages: We shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from user-to-user transactions
  • Mobile money transaction failures or delays
  • Third-party actions or omissions
  • Force majeure events beyond our control

13. Regulatory Compliance and Legal Framework

Governing Law: These Terms are governed by the laws of the Republic of Ghana, including but not limited to:

  • Payment Systems and Services Act 2019 (Act 987)
  • Data Protection Act 2012 (Act 843)
  • Bank of Ghana regulations and guidelines
  • Anti-Money Laundering Act 2008 (Act 749)

Jurisdiction: Any legal disputes shall be resolved in the courts of Ghana, and you consent to the exclusive jurisdiction of Ghanaian courts.

Regulatory Changes: We reserve the right to modify our operations to comply with new or changed Ghanaian financial regulations.

14. Modifications to Terms

Amendment Process: We may modify these Terms at any time by:

  • Posting updated Terms on the platform
  • Sending email notifications to registered users
  • Providing in-platform notifications
  • Updating the "Last Updated" date

Acceptance of Changes: Continued use of the Service after modifications constitutes acceptance of the new Terms. If you disagree with changes, you must discontinue use of the Service.
